Terms of Service

Please read these Terms of Service (“Terms”) carefully before accessing or using the BioEngineAI Intelligence Platform (CytoRNA) (“Platform”, “Service”). By creating an account or using the Platform you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Parties

These Terms form a legally binding agreement between CytoHub Inc., a corporation (“CytoHub”, “we”, “us”, or “our”), and the individual or entity accessing the Platform (“User”, “you”, or “your”). Enterprise customers may be subject to a separate Master Services Agreement that supplements or supersedes these Terms where expressly noted.

2. Description of Service

The BioEngineAI Intelligence Platform (CytoRNA) is a cloud-based bioinformatics software-as-a-service platform that enables researchers, institutions, and life-science organisations to upload, process, and analyse single-cell RNA sequencing (scRNA-seq) datasets. The Platform provides automated quality control, dimensionality reduction, clustering, differential gene expression analysis, publication-quality visualisations, and AI-assisted interpretation of results.

The Platform is intended solely for research and informational purposes. It does not constitute medical advice, clinical diagnosis, or any form of therapeutic recommendation. Results generated by the Platform must not be used as the sole basis for clinical or patient-care decisions.

3. Accounts and Eligibility

  • You must be at least 18 years of age or the age of legal majority in your jurisdiction.
  • You must provide accurate, complete, and current registration information and keep it up to date.
  • You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at legal@cytohub.com if you suspect unauthorised access.
  • One person may not maintain more than one free account. Corporate or institutional accounts must be registered by an authorised representative.
  • We reserve the right to refuse registration or terminate accounts at our sole discretion.

4. Subscription Plans and Payment

The Platform is offered on a tiered subscription model (Free, Pro, Enterprise). Paid plans are billed monthly or annually as selected at the time of purchase.

  • All fees are quoted and charged in United States Dollars (USD) unless otherwise agreed in writing.
  • Subscriptions renew automatically unless cancelled at least 24 hours before the end of the billing period.
  • No refunds are issued for partial billing periods unless required by applicable law.
  • We reserve the right to change pricing upon 30 days' written notice. Continued use after the effective date constitutes acceptance of the new pricing.
  • You are responsible for all applicable taxes. CytoHub will collect taxes where legally required to do so.
  • Overdue accounts may be suspended or terminated after reasonable notice.

5. Acceptable Use

You agree to use the Platform only for lawful research and analytical purposes. You must not:

  • Upload data that violates applicable privacy laws, patient-consent requirements, or institutional review board (IRB) approvals.
  • Upload data containing personally identifiable information (PII) of human subjects unless you have obtained all required authorisations and complied with applicable data-protection regulations (including HIPAA, GDPR, or equivalent).
  • Attempt to reverse-engineer, decompile, or extract the source code of the Platform.
  • Use the Platform to train, fine-tune, or benchmark competing machine-learning models.
  • Circumvent rate limits, usage quotas, or access controls.
  • Introduce malicious code, perform denial-of-service attacks, or attempt to gain unauthorised access to our infrastructure.
  • Resell, sublicense, or otherwise commercialise access to the Platform without our prior written consent.
  • Misrepresent results generated by the Platform in any publication, regulatory filing, or public communication.

6. Research Data and User Content

“User Content” means any datasets, files, metadata, annotations, or other materials you upload to the Platform.

  • You retain all ownership rights in your User Content.
  • By uploading User Content you grant CytoHub a limited, non-exclusive, worldwide licence to store, process, and transmit the content solely as necessary to provide the Service.
  • We do not claim any intellectual property rights in your raw data or in the analysis results generated from it.
  • You represent and warrant that you have all necessary rights, licences, consents, and permissions to upload and process your User Content using the Platform.
  • You are solely responsible for ensuring that human genomic or clinical data is de-identified or otherwise handled in compliance with applicable regulations (HIPAA, GDPR, CCPA, and equivalent) before upload.

7. Analysis Results and Intellectual Property

Analysis results, plots, notebooks, and reports generated by the Platform from your User Content are owned by you, subject to the following:

  • CytoHub retains all intellectual property rights in the Platform itself, including algorithms, pipelines, software, and visualisation methods.
  • You may use, publish, and share your analysis results for any lawful purpose, provided you do not misrepresent the source or accuracy of the results.
  • If you publish research that used the Platform, we encourage (but do not require) acknowledgement of CytoHub or the BioEngineAI Intelligence Platform (CytoRNA).
  • Aggregated, anonymised, and non-identifiable usage statistics may be used by CytoHub to improve the Platform.

8. Data Storage and Retention

  • User Content and analysis results are stored in encrypted cloud storage (Amazon Web Services S3) in the United States.
  • We retain User Content and results for the duration of your account. If you delete a job or dataset, the record is soft-deleted; permanent deletion may occur within 90 days.
  • Upon account termination you may request export of your data within 30 days. After that period we may permanently delete your data.
  • We implement commercially reasonable technical and organisational security measures. However, no system is perfectly secure and you upload data at your own risk.

9. Availability and Service Level

We strive to maintain high availability but do not guarantee uninterrupted access. The Platform is provided “as is” and “as available”. We may perform scheduled or emergency maintenance at any time. We will make reasonable efforts to notify users of planned downtime in advance.

Enterprise customers with a separate Service Level Agreement (SLA) are governed by the uptime commitments and remedies specified therein.

10. Third-Party Services

The Platform integrates with or relies on third-party services including but not limited to Amazon Web Services (storage and compute), Supabase (database and authentication), NCBI/GEO (public genomic data), and AI inference providers. Use of those services is subject to their respective terms and privacy policies. CytoHub is not responsible for the acts or omissions of third-party service providers.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the platform and all related services are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. CytoHub does not warrant that the platform will be error-free, that results will be accurate or complete, or that any defects will be corrected. Bioinformatics analysis involves inherent uncertainty; you are responsible for independently validating results before acting on them.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will CytoHub, its directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the platform, even if CytoHub has been advised of the possibility of such damages. In no event will CytoHub's aggregate liability exceed the greater of (a) the amount you paid to CytoHub in the twelve months immediately preceding the claim, or (b) one hundred US dollars (USD $100).

13. Indemnification

You agree to indemnify, defend, and hold harmless CytoHub Inc., its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of a third party.

14. Termination

Either party may terminate these Terms at any time. You may close your account from the settings page. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or for any other reason in our sole discretion with reasonable notice where practicable.

Upon termination: your right to use the Platform ceases immediately; provisions that by their nature should survive (including Sections 6, 7, 11, 12, 13, and 16) will continue in full force.

15. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes by email or prominent in-app notice at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform and close your account.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws provisions. Any dispute arising under these Terms will be resolved exclusively by binding individual arbitration under the rules of the American Arbitration Association (AAA) in Delaware, unless the amount in controversy is less than USD $10,000, in which case either party may elect small-claims court. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

17. General

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable Order Form or MSA, constitute the entire agreement between you and CytoHub regarding the Platform.
  • Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.
  • No Waiver: Failure to enforce any right under these Terms is not a waiver of that right.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign freely.
  • Force Majeure: CytoHub is not liable for delays or failures caused by events beyond our reasonable control.
